Terms of Service

Effective date: October 13, 2026

1. Agreement

By creating an account or using Tempo ("the Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service. These Terms are a binding agreement between you and TempoPace ("Tempo," "we," "us"). If you use Tempo for a business, you confirm you can bind that business to these Terms.

2. Who may use Tempo

Tempo is for business use by people who are at least 18 years old. You must give accurate account information and keep it current. You are responsible for all activity under your account and for keeping your login secure; tell us promptly if you suspect unauthorized access.

3. What Tempo is

Tempo is a software tool that helps small businesses manage clients, invoices, proposals and communications. It is not an accountant, lawyer, tax or financial advisor, or marketing agency, and using it creates no professional or fiduciary relationship. You are responsible for your own business decisions, communications, taxes and legal compliance. Features may change, and some may be offered as early access.

4. AI-generated content

You are responsible for everything you send.

AI drafts are suggestions only. Tempo never sends AI-written content automatically; you must read and approve each one first.

  • →AI output is provided "as is" and may be inaccurate, incomplete, or unsuitable for your situation or local law.
  • →Harmony uses general business knowledge and does not know your specific legal, tax or industry requirements.
  • →You are solely responsible for reviewing, editing and approving AI content, and for the consequences of sending it.
  • →Do not use Harmony to generate content that is unlawful, deceptive, defamatory or infringing.

5. Your data and your clients' data

Your data is yours. You own the business data you enter, and you grant Tempo a limited licence to host, process, transmit and display it solely to provide and secure the Service (including sending it to the providers listed in the Privacy Policy).

You are the controller of your clients' personal data. You confirm you have the right and any required notice or consent to put it into Tempo and to contact those people. A data processing addendum is available on request at [email protected].

You can delete your account at any time (Settings → Delete account), and you can ask us for a copy of your data. Deletion is permanent. See the Privacy Policy for what is erased and what third parties must retain.

6. Acceptable use

You may not use Tempo to:

  • ✕Send spam or messages to people who have not consented, or violate email and messaging laws (such as CAN-SPAM, TCPA, CASL and GDPR/ePrivacy). You are responsible for consent, opt-outs and required sender information in what you send.
  • ✕Harass, threaten, defraud or deceive anyone, or send unlawful or infringing content.
  • ✕Store or transmit malware, or probe, disrupt or bypass the security or rate limits of the Service.
  • ✕Access other users' data, or scrape or reverse engineer the Service.
  • ✕Resell or sublicense the Service without our written permission.
  • ✕Use the Service for any illegal purpose or in breach of Stripe's, Square's or any other connected provider's terms.

We may remove content or suspend accounts that we reasonably believe breach these rules.

7. Plans, free trial, billing and cancellation

  • →Tempo is offered on monthly and yearly subscription plans (Solo, Plus and Scale). A yearly plan is billed once a year at ten times the monthly price. Current prices are shown before you subscribe and in Settings → Billing. Founder and early-adopter prices, where offered, apply for as long as your subscription stays continuously active.
  • →Free trial: new subscriptions start with a 14-day free trial. A payment card is required to start. Nothing is charged during the trial. Unless you cancel before the trial ends, your card is automatically charged the plan price when the trial ends, and then every month (or every year, on a yearly plan).
  • →Recurring billing: your subscription renews automatically each month, or each year on a yearly plan, until you cancel. We email you a reminder before a yearly plan renews. By subscribing you authorize us, through Stripe, to charge your card for the plan price plus any applicable taxes.
  • →Cancel any time online in Settings → Billing → Manage billing. Cancellation takes effect at the end of the current billing period and you keep access until then. To avoid being charged for the next period, cancel before it renews. Switching between monthly and yearly billing is prorated.
  • →Refunds: fees are non-refundable except where required by law or where we choose to give one. We do not give pro-rated refunds for unused time, including the unused part of a yearly plan.
  • →Failed payments: if a charge fails we will retry, and your account keeps working for a 7-day grace period. After that, or after cancellation, your account becomes read-only. Your data stays available to you until you delete it.
  • →Price changes: we will give at least 30 days' notice of a price change, which applies from your next renewal after the notice period. You may cancel before it takes effect.
  • →Plan changes between Solo, Plus and Scale are prorated. Taxes are calculated at checkout.

Tempo does not process your clients' payments. Invoice payments go directly to your own connected Stripe or Square account or your own payment link; Tempo has no access to those funds and is not responsible for chargebacks, disputes or fees on them.

8. Third-party services

Tempo works with services such as Stripe, Square, Resend, Twilio, Google and Anthropic. Your use of them is subject to their terms, and we are not responsible for their availability, changes or actions.

9. Availability and changes

We aim for high availability but do not guarantee uninterrupted or error-free access. The Service may be unavailable due to maintenance, outages or events beyond our control. We may modify or discontinue features, giving reasonable notice of material reductions.

10. Intellectual property and feedback

Tempo's software, branding and design are owned by TempoPace. We grant you a limited, revocable, non-transferable right to use the Service under these Terms. If you give us feedback or suggestions, we may use them without restriction or payment.

11. Disclaimer of warranties

Important — Please Read

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

TEMPO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI-GENERATED CONTENT WILL BE ACCURATE OR APPROPRIATE, OR THAT ANY PARTICULAR RESULT, INCLUDING FASTER PAYMENT OR MORE CLIENTS, WILL BE ACHIEVED.

12. Limitation of liability

Important — Please Read

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEMPO AND ITS OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, CLIENTS OR GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THEIR POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO TEMPO IN THE 12 MONTHS BEFORE THE CLAIM AND $100 USD.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW, SUCH AS FOR FRAUD OR WILLFUL MISCONDUCT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

13. Indemnification

You will defend and indemnify Tempo and its officers, employees and agents against claims, damages and expenses (including reasonable legal fees) arising from your content, your messages to your clients, your breach of these Terms or of law, or your violation of any third party's rights.

14. Suspension and termination

You may stop using Tempo and delete your account at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or use the Service fraudulently, giving notice where reasonably possible. Sections that by their nature should survive (including 5, 11, 12, 13 and 16) survive termination.

15. Changes to these Terms

We may update these Terms. We will notify you by email or in the app at least 14 days before material changes take effect. Continuing to use Tempo after that date means you accept the updated Terms; if you do not, you may cancel before then.

16. Governing law and disputes

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at [email protected] and try to resolve it informally for 30 days.

Any dispute that is not resolved informally will be decided in the state or federal courts located in Utah County, Utah, and you and Tempo consent to that jurisdiction, except that either of us may bring an individual claim in small-claims court. To the extent permitted by law, claims must be brought only on an individual basis and not as a plaintiff or class member in any class or representative action.

17. General

These Terms and the Privacy Policy are the entire agreement between us about the Service. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control.
